Agenda Item : 4 Agenda Detail : To consider and approve the allocation of the net profit as a legal reserve and dividend payment Type : To Consider and approve Board's Resolution : The Board of Directors deems it appropriate to propose the following to the Shareholders' Meeting: -To consider and approve the appropriation of net profit for the 2025 operating results for the year ended December 31, 2025, as a legal reserve in the amount of 23,190,416.49 Baht. Consequently, the Company's legal reserve has now reached the requirement of at least 10% of the registered capital. -To consider and approve the 2025 annual dividend payment in cash at the rate of 0.20 Baht per share, totaling 184,000,000.00 Baht, derived from the following: 0.11 Baht per share (totaling 101,200,000.00 Baht): Paid from retained earnings exempt from corporate income tax under Board of Investment (BOI) privileges. 0.09 Baht per share (totaling 82,800,000.00 Baht): Paid from retained earnings not subject to investment promotion privileges (Non-BOI). Agenda Item : 5 Agenda Detail : To consider and approve the appointment of directors in replacement of those who must retire by rotation Type : To consider and approve the appointment of directors Board's Resolution : The Board of Directors deems it appropriate to propose that the 2026 Annual General Meeting of Shareholders consider and approve the re-appointment of three directors (out of a total of nine directors) who are retiring by rotation in 2025 to serve for another term. These directors are: (1) Mr.Kittipong Puangmala Director (2) Mr.Johson Lim Director (3) Mr.Boonma Phonthanakornkul Director/Independent Director Upon the recommendation of the Nomination and Remuneration Committee, the Board of Directors has carefully and cautiously reviewed the candidates' qualifications, focusing on the Company's best interests and suitability. The Board has determined that the nominees have undergone a rigorous screening process and possess the appropriate qualifications for the Company's business operations, including specialized knowledge, expertise, experience, vision, and integrity. Furthermore, none of the nominees possess any prohibited characteristics as defined by law. The Board of Directors has also considered that the person nominated for the position of Independent Director is capable of expressing opinions independently and in accordance with the relevant regulations. Therefore, the Board recommends that the 2026 Annual General Meeting of Shareholders re-appoint the aforementioned retiring directors to their previous positions for another term. Agenda Item : 6 Agenda Detail : To consider and approve the directors' remuneration for the year ended 31 December 2026 Type : To Consider and approve Board's Resolution : The Board of Directors concurs with the Nomination and Remuneration Committee, having taken into consideration the Company's financial position, the scope of duties and responsibilities of the directors, the appropriateness and performance of their duties, as well as the suitability in relation to the Company's business type and expansion, and the market and industry outlook. The remuneration has also been benchmarked against that of other listed companies in the same industry or of comparable size. Accordingly, the Board deems it appropriate to propose to the Shareholders' Meeting for consideration and approval the directors' remuneration for the year 2026 within a total budget of Baht 6 million. The proposed remuneration includes remuneration by position, meeting allowances for each sub-committee, and special remuneration (bonus). Agenda Item : 7 Agenda Detail : To consider and approve the appointment of auditor and fix his/her remuneration for the year ended 31 December 2026 Type : To Consider and approve Board's Resolution : The Board of Directors, based on the recommendation of the Audit Committee, has reviewed the performance of the Company's auditor, EY Office Limited, for the year 2025 and found it to be highly satisfactory. The auditors possess a deep understanding of the business, extensive auditing experience and expertise, and have provided valuable advice to the Company. Furthermore, EY Office Limited also serves as the auditor for all of the Company's subsidiaries. Accordingly, the Board deems it appropriate to propose that the Shareholders' Meeting consider and approve the appointment of EY Office Limited as the Company's auditor for the year 2026.
