Rejlers has signed a new framework agreement with the Swedish Transport Administration that covers inspections of radio base stations throughout Sweden. The assignment involves a broadening of the existing collaboration with the Swedish Transport Administration.

Press release 21.10.2026

The framework agreement covers technical inspections of the physical infrastructure of radio base stations, including masts, towers and associated facilities. The framework agreement runs for two years with 3 option years (1+1+1). The assignment is nationwide and will be carried out on an ongoing basis as needed. The aim is to ensure a good overview of the condition of the facilities and create a basis for long-term and well-functioning maintenance.

Rejlers already has an extensive collaboration with the Swedish Transport Administration in areas such as railways and infrastructure. The new framework agreement means that the collaboration is now being expanded with an additional area of expertise, where Rejlers can benefit from its long experience of technical inspections in the telecom industry.

“We have extensive experience of inspecting telecom infrastructure for operators around Sweden. To now be able to use that expertise in a new context together with the Swedish Transport Administration is very positive. It also shows the strength of Rejlers' broad offering, where we can combine specialist knowledge from different parts of the business to meet our customers' needs”, says Maria Åhlberg, Business Manager at Rejlers.

The shareholders of Rejlers AB and Multiconsult ASA have approved the proposed merger of the two groups. This marks an important step towards the formation of Multiconsult Rejlers, a new Nordic group offering advisory, engineering and architectural services, with nearly 8,000 employees.

Press release 19.10.2026

At extraordinary general meetings of Rejlers and Multiconsult on Monday, 19 October, the shareholders of both companies approved the joint merger plan.

“I am delighted by the shareholders’ strong support for the most significant change in Rejlers’ history. Rejlers and Multiconsult are two successful companies that complement each other well. Together, we are creating a larger and stronger multidisciplinary consultancy, with a broader geographical reach and an even stronger offering for both clients and employees. I very much look forward to building the new group together with all the fantastic colleagues at Multiconsult and Rejlers,” says Viktor Svensson, President and CEO of Rejlers.

“I am very pleased that Multiconsult’s shareholders support the merger. Their support shows that they share our belief in the potential of bringing together two strong companies that are well matched in many ways – in terms of culture, expertise and geographical presence. Our ambition is to become the natural first choice for large and complex projects, and the most attractive workplace for current and future employees,” says Kristin Olsson Augestad, Deputy CEO of Multiconsult Group.

Multiconsult Rejlers will have around 8,000 employees, most of them in Sweden, Norway and Finland, with a presence also in Poland, Denmark, the United Kingdom and the United Arab Emirates. Together, the two companies currently have revenue of approximately SEK 12 billion and adjusted EBITA of approximately SEK 795 million. The group will be headquartered in Stockholm, while several group functions will be based at the main office in Oslo.

Upon completion of the merger, the parent company will be renamed Multiconsult Rejlers. Companies within the group will initially retain their existing brands to a large extent. A new brand strategy for the group will be presented by 2028 at the latest.

The merger is expected to be completed in late 2026 or early 2027, subject to the necessary regulatory approvals being obtained and the other conditions for the merger being fulfilled.

Class B shares may be issued up to a number corresponding to not more than one hundred (100) per cent of the entire share capital, each carrying one (1) vote. New Section 14 entitles the board of directors to collect proxies at the Company’s expense in accordance with Chapter 7, Section 4, second paragraph of the Swedish Companies Act and to resolve on postal voting before a general meeting.

Resolution on approval of the Merger Plan (item 8)

In connection with the proposed merger between Rejlers and Multiconsult ASA (“Multiconsult”) (the “Merger”), the extraordinary general meeting resolved to approve the merger plan dated and signed on 7 September 2026 and jointly adopted by the boards of directors of Rejlers and Multiconsult (the “Merger Plan”). The Merger Plan was registered with the Swedish Companies Registration Office on 11 September 2026, and notice thereof was published on 15 September 2026. The Merger is a cross-border merger under Chapter 23, Section 36 of the Swedish Companies Act (Sw. aktiebolagslagen) and Chapter 13, Part VII of the Norwegian Public Limited Liability Companies Act (Nw. allmennaksjeloven), to be effected by absorption with Rejlers as transferee and Multiconsult as transferor. Multiconsult shall be dissolved without liquidation, and all its assets, rights and liabilities shall transfer to Rejlers by universal succession upon completion of the Merger. The combined company shall be named Multiconsult Rejlers AB (publ). According to the Merger Plan, each Multiconsult share entitles the holder to 0.9725 new class B Rejlers shares, corresponding to 389 new class B shares for every 400 Multiconsult shares, subject to the adjustment mechanism described in the Merger Plan (the “Merger Consideration”). Settlement of the Merger Consideration will take place following the Swedish Companies Registration Office’s registration of the Merger.

Resolution on amendment of the articles of association (company name) (item 9)

The extraordinary general meeting resolved to amend Section 1 of the articles of association so that the Company’s registered company name is changed from Rejlers AB (publ) to Multiconsult Rejlers AB (publ). The amendment is conditional upon registration of the Merger with the Swedish Companies Registration Office and will be registered simultaneously with the Merger.

Authorisation for the board of directors to resolve on new issues of class B shares to pay the Merger Consideration (item 10)

The extraordinary general meeting resolved to authorise the board of directors, on one or more occasions until the next annual general meeting, to resolve, with deviation from the shareholders’ preferential rights, on new issues of class B shares as Merger Consideration to the shareholders of Multiconsult in accordance with the Merger Plan. The purpose of the authorisation and the deviation from the shareholders’ preferential rights is to enable payment of the Merger Consideration.

Resolution on the number of board members, board remuneration and election of board members and the chair of the board (item 11)

The extraordinary general meeting resolved, in accordance with the nomination committees’ proposal, that the board of directors, for the period until the end of the next annual general meeting, shall consist of six (6) members elected by the general meeting without deputies. Peter Rejler, Johan Lannebo and Martina Rejler were re-elected and Jone Torstensen, Eva Kristensen and Tove Raanes were elected as board members. Peter Rejler was re-elected as chair of the board. The existing Multiconsult board members Jone Torstensen, Eva Kristensen and Tove Raanes shall receive remuneration corresponding to that resolved by Multiconsult’s annual general meeting on 16 April 2026, of NOK 360,000 each. The remuneration is paid on an annual basis and is reduced proportionally to reflect that the new members will not serve for the entire term of office. Remuneration for committee work is unchanged in accordance with the resolution of Rejlers’ annual general meeting and amounts to SEK 116,000 to the chair of the audit committee and SEK 69,000 to each of the other members of the audit committee, and SEK 58,000 to the chair of the remuneration committee and SEK 35,000 to each of the other members of the remuneration committee.

The composition is based on the ownership in the Company immediately following registration of the Merger with the Swedish Companies Registration Office. The amendment applies only to the nomination committee ahead of the 2027 annual general meeting; thereafter, the instruction applies in its ordinary wording.
