Amsterdam, 9 September 2026 – Further to recent press rumors concerning alleged developments in the competitive process launched by Companhia Siderúrgica Nacional S.A. for the potential sale of CSN Cimentos S.A., Cementir Holding N.V. hereby clarifies as follows.
Aalborg Portland Holding A/S, a company incorporated under Danish law and affiliated with Cementir Holding N.V., did in fact submit, jointly with the Brazilian company Votorantim Cimentos S.A., a binding offer in the context of the above-mentioned competitive process.
Such offer, however, expired without having been accepted by the seller.
As of today, therefore, there are no binding agreements, nor commitments of any kind, in relation to the potential acquisition of CSN Cimentos S.A. by Aalborg Portland Holding A/S, Cementir Holding N.V. or any other companies of the Cementir Group.
Cementir Holding N.V. confirms its intention to actively evaluate any further opportunities in the South American continent.

Significant improvement in the second quarter and guidance confirmed despite a first quarter impacted by exceptionally adverse weather conditions

• Volumes down: cement (-2.9%), ready-mixed concrete (-10.9%) and aggregates (-2.6%). At constant perimeter, excluding the disposal of Kars Cimento, cement volumes increased by 1.4%
• Revenue: EUR 798.1 million (+0.2% on EUR 796.7 million in the first half of 2025); non-GAAP revenue amounted to EUR 793.7 million (-1.7% compared with 2025 and -0.2% at constant perimeter), impacted by a negative foreign exchange effect of EUR 37.4 million
• EBITDA: EUR 163.9 million (-5.5% on EUR 173.5 million in the first half of 2025); non-GAAP EBITDA amounted to EUR 153.6 million (-10.4% compared with 2025 and -9.5% at constant perimeter)
• Group net profit: EUR 62.0 million, down 15.7% on EUR 73.5 million in the first half of 2025; non-GAAP Group net profit amounted to EUR 66.0 million (-18.9% compared with 2025)
• Trend reversal in the second quarter of 2026: at constant perimeter, cement volumes increase (+3.4%), non-GAAP revenue (+5.3%) and non-GAAP EBITDA (+12.9%)

Amsterdam, 1 July 2026 – Cementir Holding N.V. announces that its Danish subsidiary Aalborg Portland Holding A/S has completed the acquisition of 100% of the share capital of Nymølle Stenindustrier A/S (“Nymølle”), the leading Danish aggregates player in terms of capacity.

The transaction, with an Enterprise Value of DKK 900 million (around EUR 120 million) on a cash and debt-free basis, has been completed upon the fulfilment of all customary closing conditions, including the required regulatory approvals. 

Nymølle operates 26 land-based aggregate quarries across Denmark and holds a well-developed reserve base, providing a strong platform for future growth. The company, with a market share of around 10%, boasts a solid market position, attractive margins and proximity to key metropolitan areas. The company reported revenues of DKK 213 million (around EUR 28.5 million) and pro-forma EBITDA of DKK 92 million (around EUR 12 million) for the fiscal year ending April 2025.

This acquisition strengthens the Group’s vertically integrated business model by combining high quality aggregates with cement and ready mixed concrete, while securing long term value creation. The expected synergies, amounting to around DKK 30 million (around EUR 4 million) within 24 months from completion, will be achieved through the integration with the Group’s existing operations in the Nordic & Baltic region.

• A subsidy for a maximum cumulative amount of around EUR 2.2 billion, to be indexed to inflation, equivalent to around EUR 146 million per year over 15 years
• ACCSION, one of Europe’s first and largest onshore carbon capture projects, represents a key milestone in Cementir’s transition to Net Zero

Amsterdam, 9 June 2026 – Aalborg Portland has signed an agreement with the Danish Energy Agency to receive a carbon capture subsidy of around EUR 117 per ton of CO2 captured for up to 1.25 million tons of CO2 annually from 2030, when the CCS plant is expected to be operational.
The subsidy is worth up to around EUR 146 million per year over 15 years, for a maximum cumulative amount of around EUR 2.2 billion, to be indexed to inflation. As a full-chain CCS project, ACCSION successful completion will be contingent upon the timely and coordinated commissioning of capture, transport and storage infrastructure.

This agreement marks a major milestone for one of Europe’s most significant industrial decarbonisation projects in a hard-to-abate sector. It also enables the development of a new Danish value chain for carbon capture, transport and onshore storage.
With the ACCSION project, Cementir Group will advance its climate strategy, contributing to the achievement of carbon neutrality for Scope 1 direct emissions at its European cement plants.

“With this agreement, we can now take a decisive step towards finalising one of the largest industrial carbon capture projects in Europe, which will place Cementir at the forefront of decarbonisation and demonstrate how hard-to-abate industries can be transformed at scale” commented Francesco Caltagirone Jr., Chairman and CEO of Cementir Holding.

When commissioned, the project is expected to deliver almost half of the Danish Fund’s overall target of capturing 2.3 million tons of CO2 annually, making a significant contribution to Denmark’s climate targets while also strengthening Denmark’s long-term industrial competitiveness in the green transition.

Amsterdam, 24 April 2026 – It is hereby announced that, following the Shareholders’ Meeting where the Board of Directors has been appointed, as communicated on 23 April 2026, on today’s date the newly established Board of Directors of Cementir Holding N.V. (the “Company”), having acknowledged that Francesco Caltagirone Jr., being the Company’s sole Executive Director, retains the positions of Chief Executive Officer and Chairman in accordance with article 7.1.2. of the Articles of Association, appointed Alessandro Caltagirone and Azzurra Caltagirone as Vice-Chairs and Adriana Lamberto Floristan as Senior Non-Executive Director.

The Board of Directors also established the following Committees:

• the Audit Committee, composed of Benedetta Navarra (Chair), Annalisa Pescatori and Adriana Lamberto Floristan, all non-executive and independent directors;
• the Remuneration and Nomination Committee, composed of Annalisa Pescatori (Chair), Benedetta Navarra and Adriana Lamberto Floristan, all non-executive and independent directors;
• the Sustainability Committee, composed of Francesco Caltagirone (Chair), Adriana Lamberto Floristan, Benedetta Navarra and Annalisa Pescatori.

The Board of Directors also updated the Board Rules to reflect the new Board composition and the new Dutch Corporate Governance Code, available on the Company's website www.cementirholding.com , in the Governance section. 

Finally, it is noted that the term of office of the directors will end with the approval of the Company’s financial statements at 31 December 2028.

Amsterdam, 23 April 2026 – The Shareholders’ Meeting of Cementir Holding N.V., held today in Amsterdam, The Netherlands, under the Chairmanship of Francesco Caltagirone Jr., approved all resolutions proposed on the agenda.
The Shareholders’ Meeting approved the 2025 financial statements and the distribution of EUR 0.30 dividend per each issued and outstanding common share (EUR 0.28 in 2024), for a total dividend payment net of treasury shares1 of EUR 46,656 thousand.
The dividend will be paid using the profit for the year amounting to EUR 45,426 thousand and, for the remaining amount, the share premium reserve for EUR 1,230 thousand.
Dividend coupon no. 7 will be paid — gross of any applicable withholding taxes — on 20 May 2026, with ex-dividend date on 18 May 2026 (record date on 19 May 2026).

The Shareholders’ Meeting also appointed the Board of Directors by reappointing the following executive and non-executive directors for the three-year period until the date of the Shareholders' Meeting called to approve the financial statements for the year 2028:

• Alessandro Caltagirone, Non-Executive Director
• Azzurra Caltagirone, Non-Executive Director

This acquisition strengthens the Group’s vertically integrated business model by combining high quality aggregates with cement and ready-mixed concrete, while securing long term value creation. This transaction is expected to generate synergies of around DKK 30 million (around EUR 4 million) within 24 months from completion, through the integration with the Group’s existing operations in the Nordic & Baltic region.

Amsterdam, 19 January 2026 – Cementir Holding N.V. announces that, as partial amendment to the Financial Calendar released on 19 December 2025, the Board of Directors’ Meeting for the examination of Fourth quarter and full year 2025 preliminary consolidated results, approval of 2026 Budget and 2026-2028 Industrial Plan update will be held on 12 February 2026, instead of 11 February 2026.
